- F1MGL Holdings, LLC is a wholly-owned subsidiary of McCarthy Group, LLC, or MGL. The Reporting Person, as Chairman of MGL, may be deemed to share beneficial ownership of any securities of the Issuer that MGL may be deemed to beneficially own. The Reporting Person disclaims beneficial ownership of all securities of the Issuer that MGL may be deemed to beneficially own except to the extent of his pecuniary interest therein.
