Explanation of responses
- F1Represents shares withheld by the Issuer to satisfy tax withholding obligations related to the vesting of restricted share units ("RSUs") that were granted to the Reporting Person under the H&R Block, Inc. 2013 Long Term Incentive Plan on December 10, 2015. The RSUs vested pursuant to the previously disclosed vesting schedule. Given the Reporting Person's resignation effective December 30, 2016 announced in a Form 8-K filed on December 7, 2016, remaining unvested RSUs will be forfeited.
