F1On March 24, 2015, Vivo Ventures VII, LLC exercised a warrant to purchase 420,000 shares of Common Stock for $3.12 per share on a cashless basis, resulting in the acquisition of 455,174 shares of common stock. 3,477,878 shares are held of record by Vivo Ventures Fund VII, L.P., and 75,799 shares are held of record by Vivo Ventures VII Affiliates Fund, L.P. (together, the "Vivo VII Funds"). Vivo Ventures VII, LLC (the ''Vivo VII GP"), as the sole general partner of both of the Vivo VII Funds, may be deemed to beneficially own the Common Stock of the Issuer owned by the Vivo VII Funds. Vivo VII GP disclaims beneficial ownership of the shares except to the extent of its pecuniary interest therein.
F2Vivo Ventures VII, LLC is the general partner of Vivo Ventures Fund VII, L.P. and Vivo Ventures VII Affiliates Fund, L.P. Vivo Ventures Fund VII, L.P. converted 411 ,041 shares of warrant stock to common stock and Vivo Ventures VII Affiliates Fund, L.P. converted 8,959 shares of warrant stock to common stock.
