- F1On March 12, 2015, John Payne, acquired the issuer's Series A Senior Convertible Notes (the "Series A Notes") and a Warrant to purchase 27,107 shares of the issuer's Common Stock for an aggregate purchase price of $30,000. Each share of Series A Notes is convertible at Mr. Payne's option into 54,215 shares of the issuer's Common Stock. The conversion price of the Series A Notes is currently fixed at $0.5534, but is subject to certain anti-dilution adjustments as set forth in a related Securities Purchase Agreement.
