- F1Received in exchange for 186,757 shares of Bay Bancorp, Inc. common stock in connection with the merger of Bay Bancorp, Inc. into Old Line Bancshares, Inc. (the "Merger"). On the effective date of the Merger, the closing price of Bay Bancorp Inc.'s common stock was $13.35 per share and the closing price of Old Line Bancshares, Inc.'s common stock was $32.36 per share.
- F2Mr. Hovde is the managing member of H Bancorp LLC, which owns 1,134,702 shares of common stock.
Remarks
This Form 4 amendment is being filed to remove the inclusion of the shares of common stock of Old Line Bancshares, Inc. held by The Eric D. & Steven D. Hovde Foundation (the "Foundation") from the reporting person's Statement of Changes of Beneficial Ownership Report on Form 4, originally filed on April 18, 2018 and erroneously amended to add such shares on May 29, 2018. These shares were also erroneously included in six Form 4s filed by the reporting person after the Form 4 amendment was filed. Mr. Mr. Hovde is a trustee of the Foundation but has no pecuniary interest in the shares held by the Foundation.
