Explanation of responses
- F1Consists of a performance-based restricted stock award made pursuant to the Issuer's Amended and Restated 2007 Employee, Director and Consultant Stock Plan. The performance-based restricted stock award vests over a four-year period, at a rate of twenty-five percent (25%) following certification by the Issuer's Compensation Committee of the achievement of certain pre-determined performance objectives and quarterly thereafter at a rate of 6.25% on the first day of each subsequent calendar quarter as long as such individual continues to be employed as of each respective vest date.
