Explanation of responses
- F1Represents 63,000 shares of restricted common stock, $0.0001 par value per share, awarded pursuant to the Company's 2013 Stock Incentive Plan, and subject to a restricted stock agreement to be entered between the Company and Mr. Wheeler. Pursuant to the restricted stock agreement, 25% of the shares of restricted Common Stock shall vest on February 9, 2017 and an additional 6.25% of the shares of restricted Common Stock shall vest at the end of each three-month period thereafter.
- F2Represents options granted by the issuer pursuant to the issuer's 2013 Stock Incentive Plan. Subject to certain criteria such options vest with 25% shares of such option one year following the date of grant and 6.25% shares of such option shall vest at the end of each three-month period thereafter.
- F3Excludes 6,282 shares previously held directly by Mr. Wheeler that were transferred to the Craig Wheeler Revocable Trust.
