- F1These shares represent restricted stock units and will be settled in common stock upon vesting.
- F2Subject to the Reporting Person's continuing to be a service provider through each applicable vesting date, one-fourth (1/4th) of the RSUs subject to the award shall vest on February 15, 2016, and each of the next three (3) vesting dates to occur on the fifteenth (15th) day of the same month in each of the following three (3) years, such that the award shall be fully vested on February 15, 2020, and in the event of termination of the awardee's service to the Company, any unvested RSU shall be automatically reacquired by the Company without payment to the awardee.
