Explanation of responses
- F1The reporting person was granted shares of restricted stock units on 11/17/2015 under the Company's Director Compensation Policy and 2015 Stock Option and Incentive Plan. 33.33% of these shares will vest on 9/1/16, with 33.33% of the shares granted vesting on each of 9/1/17 and 9/1/18. The entire award will vest on 9/1/2018. The award is subject to forward vesting by 12 months upon a change in control of the Company.
- F2Movex, LLC, is a limited liabilty company over which the reporting person exerts voting and investment control.
- F3The reporting person is the Chief Investment Officer and Managing Member of Rubex, LLC, a limited liability company.
