F1The shares were acquired by Mr. Miller upon a cash exercise of stock options, which qualifies as exempt from Section 16(b) short-swing liability. Mr. Miller paid the aggregate exercise price of $140,340.33 out of personal funds, pursuant to the applicable stock option agreement. The option initially was granted on October 1, 2008, and had an expiration date on September 30, 2015.
