- F1The shares of Series A Preferred Stock were disposed of in exchange for the shares of Common Stock reported as being acquired in this report in a transaction approved by the issuer's board of directors and a committee of disinterested, non-employee directors. The shares of Series A Preferred Stock were exchanged for Common Stock of the issuer at a rate of approximately 136.84 shares of Common Stock for each share of Series A Preferred Stock, which, based on the face value of the Series A Preferred Stock, equated to a $4.75 per share price.
