Explanation of responses
- F1These securities are held in the name of Omega Fund IV, L.P. ("Omega IV"). The Reporting Person is a director of Omega Fund IV GP Manager, Ltd., the general partner of Omega Fund IV GP, L.P., which is the general partner of Omega IV, and has shared voting and investment power over, and a proportionate pecuniary interest in, the shares held by Omega IV. The Reporting Person disclaims beneficial ownership of the securities held by Omega IV except to the extent of his proportionate pecuniary interest therein.
- F2These securities are held in the name of Omega Fund III, LP. ("Omega III"). Omega Fund III GP, L.P. ("Omega III GP LP") is the general partner of Omega III. Omega Fund III G.P., Ltd. ("Omega III GP") is the general partner of Omega III GP LP. Clessidra, LLC ("Clessidra") is the sole shareholder of Omega III GP. Omega III, Omega III GP LP, Omega III GP, Clessidra, Danish BV and Danish BV GP are collectively referred to as the "Omega Funds". As a result of an understanding relating to the Omega Funds, the Reporting Person may have an indirect pecuniary interest in the securities held by Omega III. The Reporting Person disclaims beneficial ownership of the securities held by Omega III except to the extent of his pecuniary interest therein.
