Explanation of responses
- F1The Issuer entered into a certain Agreement and Plan of Merger and Reorganization, dated as of June 30, 2014 (the "Merger Agreement), by and among the Issuer, Tigris Merger Sub, Inc., Tigris Acquisition Sub, LLC and a Delaware corporation then known as Paratek Pharmaceuticals, Inc. ("Old Paratek").
- F2On June 29, 2014, the Reporting Person was granted two options, to purchase respectively 1,169,742 and 1,169,741 shares of common stock of Old Paratek, under Old Paratek's 2014 Equity Incentive Plan at an exercise price of $0.29 per share. Pursuant to the Merger Agreement between Old Paratek and Transcept Pharmaceuticals, Inc., each option was converted into an option to purchase 78,957 shares of the Issuer's common stock at a per share exercise price of $4.30 upon the closing of the Merger. Each option was previously reported on Form 4 filed on November 3, 2014.
- F3The vesting schedule has been amended and now vests as follows: 25% of the shares shall vest on January 1, 2016; and the remaining 75% of the shares are performance-based vesting; and in each case subject to the Reporting Person's continued service with the Company on the applicable vesting date.
