- F1The 25,844 shares were previously reported as indirectly owned in the Phillip A. Sharp 2010 Grantor Annuity Trust No. 6 (the 2010 Trust). The shares were distributed to the reporting person as follows: (i) 21,988 shares in connection with a substitution of assets in the 2010 Trust and (ii) 3,856 shares as an annuity payment from the 2010 Trust. The shares were re-registered to Phillip A. Sharp.
