Explanation of responses
- F1Restricted shares of common stock, par value $0.01 per share, of Wynn Resorts, Limited (the "Company") granted pursuant to the Company's 2014 Omnibus Incentive Plan. Shares will vest pro rata, 25% per year on each anniversary of the date of grant, provided that if the reporting person's service with the Company is terminated for any reason, all restricted shares that are subject to restrictions upon the date of termination shall be forfeited.
