Explanation of responses
- F1Centric Capital Ventures LLC ("Centric Capital") is a party to a put and call agreement dated as of July 29, 2015 under which Centric Capital acquired a call option on the shares of the Issuer's common stock beneficially owned by Michael I. Sacks ("M Sacks") and granted M Sacks a put option with respect to his shares of the Issuer's common stock. M Sacks beneficially owns 2,000,000 shares of the Issuer's common stock.
