Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of Alere common stock.
- F2On December 30, 2012, Mr. Nawana was granted 110,000 restricted stock units, which vest as follows: 5,000 shares on the first anniversary of the grant date (12/30/13); 5,000 shares on the second anniversary of the grant date (12/30/14); and 100,000 shares on the third anniversary of the grant date (12/30/15). The award shall vest in its entirety if Mr. Nawana's employment is terminated by Alere without cause prior to the third anniversary of the grant date or if Mr. Nawana voluntarily terminates his employment with Alere on or following the first anniversary of the grant date, other than in the presence of facts or circumstances which would constitute cause for termination by Alere.
