- F1Each performance restricted stock unit ("PRSU") represents the right to receive one share of the Issuer's common stock upon vesting.
- F2This PRSU award was granted to the Reporting Person on May 22, 2015. On January 26, 2016, the Compensation Committee of the Issuer's Board of Directors certified that the PRSU award's performance condition had been satisfied. In accordance with the terms of the PRSU award, the award will vest as to 13,998 shares on each of February 1, 2016, February 1, 2017 and February 1, 2018 and 13,997 shares on February 1, 2019.
