Explanation of responses
- F1The transactions reported represent an amendment of an outstanding Warrant held by Raptor/Harbor Reeds SPV LLC ("Raptor/Reeds') for the purchase of 750,000 shares of Common Stock, reducing the exercise price from $1.50 to $1.10 per share. The amendment was made in consideration for the guarantee by the Reporting Person and the Daniel J. Doherty, III 2000 Family Trust (who are affiliates of Raptor/Reeds) of up to $4,000,000 of borrowings by the Issuer and previously reported by the Issuer on a Form 8-K filed on October 9, 2018.
- F2These securities are held by Rapter/Reed, a limited liability company in which the Reporting Person holds a significant membership interest. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary intrest in Raptor/Reeds.
