Explanation of responses
- F1Consists of a grant of restricted share units awarded to the Reporting Person under the Amended and Restated Seagate Technology plc 2012 Equity Incentive Plan for no consideration. Each restricted share unit represents a contingent right to receive one Ordinary Share of the Issuer. Subject to the Reporting Person's continuous service with the Issuer, shares will be released to the Reporting Person on the earlier of (i) one year from the date of grant and (ii) one day prior to the next annual general meeting of the shareholders of the Issuer following the end of the fiscal year ending with July 1, 2016.
