Explanation of responses
- F1On January 29, 2015, the Reporting Person transferred 1,459 Ordinary Shares previously owned directly to the Gregorio and Vanessa Reyes Trust.
- F2These Ordinary Shares were sold in multiple transactions at sales prices ranging from $57.06 to $57.09, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in the footnote of this Form 4.
- F3This amended Form 4 is being filed to restate that 1,459 NQ Stock Options were disposed, not acquired, in Table II.
- F4Options granted to the Reporting Person under the Issuer's 2004 Stock Compensation Plan are subject to a four-year vesting schedule. One quarter of the option shares vested on October 15, 2010.
