Explanation of responses
- F1Represents shares to satisfy withholding tax obligation for Restricted Stock vesting.
- F2On October 31, 2013, the reporting person was granted an option to purchase these stock options subject to certain performance criteria being met by FIS for calendar year 2014. These options vest in three equal annual installments commencing after the first anniversary of the date of grant provided that the performance criteria are met. On February 27, 2015, after FIS filed its Annual Report on Form 10-K, the Compensation Committee of FIS determined that the performance criteria had been met, resulting in one-third of the performance-based stock options becoming exercisable on February 27, 2015.
