Explanation of responses
- F1Amended to reflect a correction in the computation of the number of options automatically issued under the Issuer's 2010 Non-Employee Directors' Stock Award Plan; the amount previously reported did not reflect the application of the Black-Scholes value of the options. In addition, the number of options reported in the original filing inaccurately referenced 8,331 options. Such number should have been reported as 8,831 options. Thus the correction results in an increase of 6,828 options. One hundred percent (100%) of the shares subject to the options shall vest on the earlier of (i) the first anniversary of the date of grant and (ii) the date of the first Annual Meeting following the date of grant, in each case subject to the Reporting Person's continuous service as of such date. The option expires ten years after the date of grant.
