Explanation of responses
- F1Award of Restricted Stock Units granted under the Veradigm Inc. Amended and Restated 2024 Stock Incentive Plan on June 1, 2026 (the "Grant Date"). On the first anniversary of the Grant Date, 100% of the Restricted Stock Units will automatically convert into an equal number of Deferred Stock Units pursuant to an election the recipient has made pursuant to the Veradigm Inc. Director Deferred Compensation Plan. The Deferred Stock Units will be settled in shares of common stock on the tenth business day of January of the calendar year following the calendar year in which the recipient ceases to be a director.
