Explanation of responses
- F1The original Form 4 filed on December 17, 2014 incorrectly stated the nnumber of shares in Column 5 of Table I and the number of unvested restricted stock units in (b) of Footnote 2. The purpose of this Amendment is to correct those two numbers.
- F2Includes: (a) 4,236 unvested shares acquired pursuant to the award of restricted stock units described in Footnote 1 of this Form 4; (b) 6,524 unvested shares acquired pursuant to restricted stock unit awards granted in previous years; and (c) 3,554 net shares released to the reporting person in December 2014 upon vesting of previous restricted stock unit awards.
- F3Shares were acquired pursuant to a grant of restricted stock units under the Garmin Ltd. Equity Incentive Plan. The award vests in three equal annual installments beginning on December 15, 2015.
