Explanation of responses
- F1The securities awarded are in the form of restricted stock units ("RSUs") issued pursuant to the Issuer's 2014 Stock Option and Incentive Plan. Each RSU represents a contingent right to receive one share of the Issuer's common stock.
- F2These RSUs were granted as part of the Issuer's long term incentive program for executive officers. The RSUs will vest in four (4) equal annual installments beginning on April 1, 2016. All RSUs that have not vested will automatically terminate upon the reporting person's termination of employment with the Issuer and its subsidiaries, subject to certain acceleration provisions set forth in the reporting person's employment agreement.
