Explanation of responses
- F1Restricted stock units converted into shares of common stock on a one-for-one basis
- F2In connection with the vesting of restricted stock units, the Issuer withheld vested shares of common stock and agreed to satisfy the Reporting Person's tax withholding obligations in lieu of cash. The number of vested shares withheld was based on the closing price of the Issuer's common stock on December 21, 2018. Such shares were acquired as treasury stock by the Issuer.
- F3On December 23, 2016, the Reporting Person was granted 8,094 restricted stock units, which vested in three equal annual installments beginning on December 23, 2016. On February 8, 2018, the Reporting Person (i) earned 8,094 performance-based Restricted Stock Units, which vest in three equal annual installments beginning on February 8, 2018 and (ii) was granted 2,637 Restricted Stock Units, which vest in three equal annual installments beginning on March 15, 2019.
