Explanation of responses
- F1In connection with the vesting of shares of restricted stock pursuant to the Fifth Amended and Restated Basic Energy Services, Inc. 2003 Incentive Plan, the issuer withheld vested shares and agreed to satisfy the executive's withholding tax obligations in lieu of cash. The number of vested shares withheld was based on the closing price per share on March 16, 2015. The withholding of vested shares pursuant to this award was approved by the Compensation Committee of the board of directors of the issuer, and the number of shares indicated in this Form 4 were acquired as treasury stock by the issuer.
