- F1These shares were sold pursuant to Company policy that requires a holder of Restricted Stock Units (RSU's) to immediately sell enough shares to enable the Company to fulfill its obligation to deliver funds to the Internal Revenue Service to cover the holder's tax obligation which is triggered by the vesting of the RSU and pursuant to the terms of Mr. Roenigk's Rule 10b5-1 trading plan.
