Explanation of responses
- F1This transaction was effected pursuant to a 10b5-1 trading plan arrangement approved by the Company by which only those shares required to satisfy tax withholding due upon the vesting and release of RSUs were sold ("sell-to-cover"), and the remaining shares were released to the grantee. Provision for tax withholding is a requirement of the Company's 2010 Equity and Performance Incentive Plan in relation to grants of RSUs as a condition of the release of vested shares.
