Explanation of responses
- F1The "Amount of Securities Beneficially Owned" is calculated using the Issuer's initial NAV per unit of $500. The Reporting Person became a Director of the Issuer, which was originally formed as a closed-end investment company electing to be treated as a BDC, on 5/26/00. On 12/18/09 and 12/31/09, he received units of the Issuer worth $36,500 when Excelsior Venture Investors III, LLC, a closed-end management investment company that operated as a feeder fund for the Issuer (and for which the Reporting Person also served as a Director), liquidated and distributed its portfolio securities in kind to shareholders. On 1/29/10, the Issuer withdrew its election to be treated as a BDC and continued its operations as a registered closed-end management investment company. The value of the Reporting Person's investment in the Issuer has varied over time due to distributions and fluctuations in the value of portfolio securities. No sales have occurred.
