Explanation of responses
- F1In connection with the merger of Square 1 Financial, Inc. with and into PacWest Bancorp on October 6, 2015 pursuant to the Agreement and Plan of Merger, dated March 1, 2015, as amended, by and between PacWest and Square 1, Castle Creek Capital Partners IV, L.P. received the shares reported above and $58.59 in cash in exchange for 1,898,842 shares of Square 1 Class A common stock and 2,563,383 shares of Square 1 Class B non-voting common stock.
- F2Reporting person serves as managing principal of Castle Creek Capital IV, LLC, the sole general partner of Castle Creek Capital Partners IV, L.P. As such, reporting person may be deemed to have beneficial ownership of the securities owned by this entity. Reporting person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that he is a beneficial owner of such securities for the purposes of Section 16.
