Explanation of responses
- F1On May 14, 2015, the Reporting Person was granted a target number of shares (22,000) covered by restricted stock units with performance-based vesting requirements over a three-year performance period. On May 16, 2018, the Compensation Committee of the Issuer's Board of Directors determined that 175% of the target shares vested as of May 14, 2018, and the actual number of shares vested are reflected on this Form. Such shares became issuable following the May 16, 2018 determination.
