(the "Company"), of which 5,000,000 shares of were issued on April 1, 2016, in connection with an agreement between Mr. Mills and the Company under which the Company issued 5,000,000 shares of the Company's common stock with the Rule 144 restrictive legend to Mr. Mills in exchange for the cancellation of $100,000 in fees owed services rendered by Mr. Mills as a Director and Secretary of the Company. The fair market value of the shares was $100,000. Parker Mills, LLP ("Parker Mills") owns 1,083,333 shares of common stock of Vertical Computer Systems, Inc. (the "Issuer") and a 3 year warrant to purchase 1,000,000 shares of the Company's stock at an exercise price of $0.10 per share.
