Deferred Shares represent shares of MetLife, Inc. common stock that have become payable, but that remain unpaid because payment has been deferred.
- F2Includes 4,794.1599 Deferred Shares previously added to the reporting person's ownership through an adjustment to maintain the intrinsic value of Deferred Shares in light of the distribution by MetLife, Inc. to its shareholders of Brighthouse Financial, Inc. common stock. The reporting person did not receive shares of Brighthouse Financial, Inc. common stock on account of Deferred Shares.
- F3The Reporting Person disclaims beneficial ownership of 76.44% of shares held by JMK Investments 2, LP, representing limited partnership interests in trusts for the benefit of each of his children.
