Remarks
As previously reported in the Current Report on Form 8-K of Sitestar Corporation (the "Company") filed with the Securities and Exchange Commission on January 17, 2018 and most recently amended on July 12, 2018, on June 29, 2018, Mt Melrose, LLC, a Delaware limited liability company subsidiary wholly owned by the Company ("Purchaser"), consistent with the terms of the Purchase Agreement, dated December 10, 2017 ("Purchase Agreement"), completed a second acquisition ("Second Close") from Mt. Melrose, LLC , a Kentucky limited liability company ("Seller") controlled by Mr. Moore of real properties located in Lexington, Kentucky pursuant to the Purchase Agreement. Under the Purchase Agreement, a portion of the consideration for the Second Close is the issuance by the Company to Mr. Moore of 18,519,720 shares of the Company's common stock reported herein.
