- F1Loeb Holding Corporation owns 6,940,541 shares. The reporting person is the beneficial owner of 51% of the voting stock of Loeb Holding Corporation and disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purposes. In addition, the reporting person's spouse owns 9,099 shares, of which the reporting person disclaims beneficial ownership; this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.
