Explanation of responses
- F1These shares represent restricted stock units granted to the Reporting Person and shall vest in four equal annual installments beginning on June 20, 2019.
- F2Includes 375 shares received as an Issuer match under the Issuer's 401K Plan on December 18, 2017 and not required to be reported.
- F3On June 19, 2018, the Reporting Person vested in 8,405 restricted stock units ("RSUs") and as a result acquired 8,405 shares of common stock of the Issuer pursuant to the Reporting Person's June 21, 2016 grant of RSUs. This Form 4 reports shares withheld by the Issuer pursuant to the RSUs' grant agreement in order to satisfy the Reporting Person's withholding obligations for various taxes due upon the vesting of the RSUs. No shares were sold by the Reporting Person. The Issuer will pay the taxes on behalf of the Reporting Person.
- F4On June 21, 2018, the Reporting Person vested in 9,479 restricted stock units ("RSUs") and as a result acquired 9,479 shares of common stock of the Issuer pursuant to the Reporting Person's June 23, 2015 grant of RSUs. This Form 4 reports shares withheld by the Issuer pursuant to the RSUs' grant agreement in order to satisfy the Reporting Person's withholding obligations for various taxes due upon the vesting of the RSUs. No shares were sold by the Reporting Person. The Issuer will pay the taxes on behalf of the Reporting Person.
- F5The Performance Restricted Stock Units vest and release on a quarterly basis over an approximately four-year vesting period beginning August 5, 2018 and through May 5, 2022, with the actual number of shares being vested and released on any vesting date determined based on achievement of applicable stock price targets established for purposes of the award. The table above reflects the maximum number of shares that may be issued pursuant to the award.
