Explanation of responses
- F1On January 30, 2015, a Form 4 for the Reporting Person was filed with 150,000 shares granted. Effective upon the receipt of the Company's 2015 audited financial results from its independent auditors it has been determined that the reporting person would be granted an additional 15,000 shares as a result of exceeding the performance criteria thus resulting in a total of 165,000 shares. The awarded performance-based RSU's are still subject to a service requirement such that the award will vest with respect to one hundred percent (100%) of the shares subject to the award (rounded down to the next whole number of shares) on March 14, 2016.
Remarks
This filing is made solely to correct the Form 4 filing on February 24, 2016 with respect to the Amount of Securities Beneficially Owned Following reported Transactions. The amount should have been reported as 1,006,905 shares.
