Explanation of responses
- F1The shares of Common Stock, par value $0.0001 per share (the "Common Stock"), of Nuo Therapeutics, Inc. (the "Issuer") were issued pursuant to an order of the United States Bankruptcy Court for the District of Delaware dated June 20, 2016 to the Reporting Person as a designee of the ad hoc committee of equity holders of the Issuer as repayment for a $10,000 loan made by the Reporting Person to the committee in December 2015.
- F2Warrants acquired as part of a private placement of shares of Common Stock completed on May 5, 2016, pursuant to which the Reporting Person acquired shares of Common Stock and warrants. The purchase of the shares of Common Stock, including the corresponding purchase price, was previously reported on Form 4 filed on July 29, 2016. The Reporting Person did not pay additional consideration for the warrants.
