Explanation of responses
- F1If and to the extent that the Reporting Person's achievement of goals pursuant to the Actua 2015 Performance Plan (such achievement, expressesd as a percentage, the "Achievement Percentage") (i) is greater than or equal to one hundred fifty percent (150%), all of these restricted shares will vest on 2/29/2016 and (ii) is greater than zero percent (0%) but less than one hundred fifty percent (150%), a portion of these restricted shares equal to two-thirds of the Achievement Percentage will vest on 2/29/2016.
