Explanation of responses
- F1The amount of securities beneficially owned has been reduced by 45,802 shares due to the inadvertent misclassification of the shares in the previous Form 4 filing by the reporting person. Such shares were granted as restricted stock units ("RSU") and should have been reported in table II. See table II of this Form 4 and footnote #3 below.
- F2Not applicable. Each RSU represents the right to receive one share of the Company's common stock upon vesting without payment.
- F3As noted in footnote #1 above, the previous Form 4 filing inadvertently misclassified 45,802 shares. Thus, the amount of RSUs shown in column 7 of Table II has been increased by this amount in order to correctly set forth the number of outstanding RSUs.
