Each non-employee Director of the Company receives on the date of the Annual Meeting of Stockholders shares of Class A Common Stock valued at $45,000 based on the closing price of the stock on the day of the annual meeting of stockholders and vest on the first anniversary of the grant date, subject to pro-ration as a result of Mr. Hanft joining the Board following the Annual Meeting of Stockholders in the current fiscal year.
