- F2The 4,907,114 shares consists of (i) 4,545,455 shares purchased by Manchester Explorer, LP, (ii) 180,830 shares owned and acquired by Morgan Frank, and (iv) 180,830 shares owned and acquired by James Besser. Manchester Management Company, LLC (""MMC""), provides investment management services to Manchester Explorer, LP and JEB Partners, LP, and James E. Besser, serves as a Managing Member of MMC and Morgan C. Frank, serves as a portfolio manager and a consultant of MMC. As a result thereof, JEB Partners, LP may be deemed an affiliate of such entities and such persons. JEP Partners, LP disclaims beneficial ownership of such 4,907,114 shares except to the extent of its pecuniary interest therein.
