Remarks
As part of the Company's total executive compensation program, and consistent with its past practice, the Compensation Committee has approved performance-based restricted stock units for the reporting person. Issuance of restricted stock units in connection with this performance-based restricted stock unit award is contingent upon the attainment of certain performance criteria in connection with the timely and successful execution of the spin-off of the Company's payments business. If the performance criteria are achieved, the reporting person will be granted shares of eBay common stock at the time of the spin-off.
