- F1In addition to the transaction noted in Table I, this Form 5 is being filed to correct the number of shares directly owned to include shares issued as a result of participating in a dividend reinvestment plan and to correctly state a disposition which occurred on November 28, 2014 as a reduction to the shares directly owned by the Reporting Person, instead of the indirect beneficial owner as it was originally filed. There have been no acquisitions or dispositions by the Reporting Person of securities issued by Hersha Hospitality Trust since January 2, 2015.
