- F1The reporting party invested $20,000 in the company pursuant to a 9% convertible promissory note with a six-month maturity date and a mandatory conversion feature wherein if the company completes a "Qualified Financing," which is defined as an issuance or conversion of securities in which the company receives gross proceeds totaling at least $200,000, the reporting party shall convert on the same terms as the Qualified Financing.
