Explanation of responses
- F1Represents a grant of restricted stock units issued on February 20, 2015 in connection with the Reporting Person's services as a director to the Issuer. The restricted stock units vest in three equal annual installments beginning on February 20, 2016. Upon vesting of the restricted stock units, Lake Capital Management LLC ("LCM"), the direct holder of the restricted stock units, will receive shares of common stock on a one-for-one basis.
- F2Lake Creek, LLC ("Lake Creek") and TG Holding Corp. ("TG Holding") are members of LCM, which is member-managed. The Reporting Person is the sole member of Lake Creek and the sole shareholder of TG Holding. As such, the Reporting Person may be deemed to be a beneficial owner of the shares reported in Table I.
- F3The Reporting Person expressly disclaims beneficial ownership of the shares reported in Table I, except to the extent of his pecuniary interest therein.
