- F1Of the total grant, one-half of the shares of restricted stock are subject to time-based vesting (in three year annual increments), and one-half of the shares of restricted stock are subject to performance-based vesting based on the Registrant achieving specific financial performance targets. The performance-based shares will vest in three year annual increments subject to achievement of the performance targets. Vesting of the shares of restricted stock is conditioned upon continued employment with the Registrant, and is subject to acceleration upon certain events.
