Explanation of responses
- F1Effective June 23, 2017, pursuant to an Agreement and Plan of Merger, dated as of December 13, 2016 between Southern National Bancorp of Virginia, Inc. ("SONA") and Eastern Virginia Bankshares, Inc. ("EVBS"), as amended, EVBS merged with and into SONA, with SONA as the surviving company (the "Merger"). In the Merger, each share of EVBS common stock converted into 0.6313 shares of SONA common stock.
- F2Mr. Gutin serves as a managing director of GCP Capital Partners, which is an affiliate of GCP III EVB LLC and other affiliated funds that own these shares. Mr. Gutin disclaims a reportable interest in these shares except to the extent of his pecuniary interest therein, and this report shall not be deemed an admission that Mr. Gutin is the beneficial owner of these shares for purposes of Section 13 of the Securities Exchange Act of 1934, or any other purposes.
